Terms of Service

These Terms of Service (“Terms”) form a binding legal agreement between you (“Customer,” “you”) and AdFocusLab (“Company,” “we,” “us,” or “our”) governing your access to and use of AdFocusLab (the “Service”). By creating an account, connecting a Google Ads account, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Description of the Service

The Service is a cloud-based software platform that connects to your Google Ads account through the Google Ads API and leverages large-language-model (LLM) technology to analyze search-term performance, identify irrelevant queries, and recommend—or, when authorized, automatically apply—negative keywords to your campaigns. The goal is to help advertisers reduce wasted spend and improve campaign relevance.


2. Eligibility & Account Authorization

  1. Minimum age. You must be at least 18 years old and legally capable of forming a contract to use the Service.
  2. Google OAuth access. You authorize us to access the Google Ads API on your behalf via the https://www.googleapis.com/auth/adwords scope and any other scopes you explicitly grant. You may revoke this access at any time through Google account settings (https://myaccount.google.com/permissions) or by contacting us.
  3. Accurate information. You agree to provide current, complete, and accurate information during registration and to keep it updated.

3. Use of Google User Data

We collect and process Google Ads data solely to provide, maintain, and improve the Service.

4. Acceptable Use

You agree not to:

  1. Use the Service for unlawful, deceptive, or misleading advertising.
  2. Tamper with, reverse-engineer, or attempt to gain unauthorized access to the Service or its underlying code.
  3. Resell or sublicense the Service without prior written permission.
  4. Violate Google Ads policies or any applicable laws and regulations.

We reserve the right to suspend or terminate your access for violations of these Terms or Google policies.


5. Fees & Payment (if applicable)

Access to the Service may be offered on free and paid subscription plans. Fees, billing cycles, and refund policies are described on the pricing page and incorporated into these Terms by reference. You authorize us (or our payment processor) to charge the payment method you specify. Unpaid amounts may result in suspension of the Service.


6. Intellectual Property

All intellectual-property rights in the Service and its content (excluding your Google Ads data) belong to Company and its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.


7. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data. By using the Service, you consent to the Privacy Policy.


8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT GUARANTEE THAT THE SERVICE WILL DETECT EVERY IRRELEVANT SEARCH TERM OR THAT AD SPEND WILL DECREASE.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO COMPANY DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


10. Indemnification

You agree to indemnify and hold harmless Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.


11. Termination

You may stop using the Service at any time. We may suspend or terminate your access (and delete associated data) with 14 days’ notice, or immediately for material breach, unlawful conduct, or risk of harm to other users. Sections 6–12 survive termination.


12. Modifications to the Service or Terms

We may modify the Service or these Terms to reflect changes in technology, legal requirements, or business needs. If we make material changes, we will provide at least 15 days’ notice via email or in-app message. Your continued use after the effective date constitutes acceptance.


13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Boston, Massachusetts, and you consent to personal jurisdiction there.
